Affiliate Program Terms

Program

The Thrive affiliate program lets eligible participants earn commissions by referring new paying customers to Thrive. By joining the program, you agree to these Affiliate Terms and to the Terms of Service. These Affiliate Terms are incorporated into the Terms. If they conflict on commission rates, attribution, holds, or payouts, these Affiliate Terms control. On liability, indemnity, and disputes, the Terms control, together with the program cap in the limitation section below.

The current program economics are:

• Commission rate: 15 percent for Pro members, or 20 percent for Pro+ members, on referred customer payments, recurring for up to 12 months
• Cookie window: 30 days from the click
• Commission hold: 30 days before approval, to allow for refunds
• Minimum payout: $50 USD in USDC. No minimum for conversion to Thrive credits
• Payout methods: USDC, or conversion to Thrive credits at 10 percent off retail

Eligibility

To participate, you must:

• Hold an active Thrive Pro or Pro+ account in good standing
• Be at least 18 years of age
• Not be located in a jurisdiction where this kind of program is prohibited
• Comply with these Affiliate Terms and the Terms of Service

No Authority to Bind Thrive

You are an independent contractor. You are not an employee, agent, partner, or joint venturer of Thrive DeFi, LLC. You have no authority to bind Thrive, to accept legal process for Thrive, to modify these Affiliate Terms or the Terms of Service, or to make any representation about Thrive except as these Affiliate Terms allow.

Commission

Rate

You earn 15 percent commission as a Pro member, or 20 percent commission as a Pro+ member, on payments made by customers you refer, including:

• Initial subscription payments, monthly or annual
• Recurring subscription renewals
• Credit pack purchases

Attribution

A referral is attributed to you when a visitor clicks your unique affiliate link and completes a purchase within 30 days. The cookie window starts at the click.

Hold

Commissions stay pending for 30 days after they are earned, so refunds and chargebacks can be resolved. After 30 days, commissions are approved and become available for payout.

Recurring commissions

For a subscription customer, you earn your tier's rate (15 percent on Pro, 20 percent on Pro+) on each recurring payment for up to 12 months, while that customer remains subscribed. The rate is based on your own plan at the time each commission is calculated. Commissions end after 12 months, or earlier if the customer cancels, churns, or receives a refund.

No Earnings Guarantee

Thrive does not guarantee any level of traffic, referrals, conversions, commissions, or earnings. Commission estimates, dashboards, and past results are not a promise of future payment. Commissions are earned only when a qualifying payment is collected and the hold period expires without a refund, chargeback, or cancellation under these Affiliate Terms.

Payouts

Minimum

The minimum payout is $50 USD. You may request a payout once your approved balance reaches that amount.

Methods

• USDC. Paid in USDC on Base or Polygon. Connect a wallet in Thrive to receive payouts. The $50 minimum applies
• Credit conversion. Convert earnings to Thrive credits at 10 percent off retail ($0.018 per credit, against a $0.02 retail price). No minimum. Processing is immediate

Processing

Payout requests are processed manually, typically within 5 to 7 business days. Thrive may request additional verification for a large payout or for activity it reasonably believes is suspicious.

Promotion

When you promote Thrive, you will:

• Disclose that you earn a commission
• Not make false or misleading claims about Thrive's features or results
• Not guarantee profits or any trading outcome
• Comply with FTC endorsement guides and any other advertising law that applies to you
• Not send spam or unsolicited bulk messages
• Not use Thrive trademarks in a way that implies Thrive endorses you

Prohibited Conduct

A violation is grounds for immediate termination and forfeiture of pending commissions. You may not:

• Self-refer, or create accounts to earn commissions on your own purchases
• Use cookie stuffing, pop-ups, or other deceptive methods to generate clicks
• Bid on Thrive brand keywords in paid advertising
• Create fake reviews or testimonials
• Use bots, scripts, or other automation to inflate clicks or conversions
• Engage in fraudulent or deceptive referral practices
• Share or transfer your affiliate account
• Promote Thrive on adult, violent, or illegal content websites

Adjustments and Forfeiture

Thrive may adjust or cancel commissions in these cases:

• Refunds. If a referred customer receives a refund, the related commission is canceled
• Chargebacks. Commissions on disputed payments are reversed
• Fraud. Commissions earned through fraud are forfeited
• Self-referrals. Commissions on self-referrals are canceled
• Violations. Commissions earned while these Affiliate Terms were being violated may be canceled

Changes

Thrive may change the program at any time, including:

• Commission rates
• The cookie window
• Minimum payout thresholds
• Eligible products
• These Affiliate Terms

Thrive will email active affiliates about a material change. A change to commission rates does not reduce commissions already earned.

Termination

By you

You may deactivate your affiliate account in the dashboard. Approved commissions at termination are paid on the ordinary schedule if they meet the minimum.

By Thrive

Thrive may end your participation at any time, including for:

• A violation of these Affiliate Terms or the Terms of Service
• Inactivity, meaning no referrals for 12 months or more
• Fraudulent or suspicious activity
• Discontinuation of the program

Effect

If Thrive terminates for cause, pending commissions may be forfeited. If Thrive terminates without cause, approved commissions are paid on the ordinary schedule.

Indemnification

You will defend, indemnify, and hold harmless Thrive DeFi, LLC and its affiliates, officers, directors, employees, agents, licensors, and suppliers from third-party claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your promotion of Thrive, your content, your advertising (including a failure to disclose a commission), your misuse of Thrive trademarks, or your violation of these Affiliate Terms or applicable law. Thrive may assume exclusive defense and control. You may not settle a claim without Thrive's prior written consent if the settlement imposes an obligation on Thrive, admits fault, or requires Thrive to pay money.

Limitation of Liability

LIABILITY ARISING OUT OF THE PROGRAM IS SUBJECT TO THE LIMITATION OF LIABILITY IN THE TERMS OF SERVICE. IN ADDITION, THRIVE'S AGGREGATE LIABILITY ARISING OUT OF THE PROGRAM WILL NOT EXCEED THE COMMISSIONS ACTUALLY PAID TO YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THRIVE IS NOT LIABLE FOR LOST COMMISSIONS, LOST REFERRALS, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Governing Law and Disputes

These Affiliate Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Disputes are resolved under the dispute-resolution section of the Terms of Service, including informal resolution, individual arbitration under the American Arbitration Association Consumer Arbitration Rules, the class waiver, the jury waiver, the 30-day arbitration opt-out, and the savings clause for non-waivable consumer rights.
