Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and Thrive DeFi, LLC ("Thrive," "Company," "we," "us," or "our") governing access to and use of the Thrive websites, applications, and related services (collectively, the "Services"), including thrive.fi and app.thrive.fi.

By creating an account, subscribing, connecting an exchange, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Global Availability & Eligibility

Thrive is building a global platform. The Services are offered worldwide except where prohibited by law or restricted by us. You are responsible for ensuring your use complies with local laws in your jurisdiction.

To use the Services, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, if higher)
• Have legal capacity to enter a binding contract
• Not be barred from using the Services under applicable law
• Not be located in, ordinarily resident in, or a national of a country subject to comprehensive U.S. or international sanctions (including OFAC restricted territories)
• Not appear on any government restricted-party list

We may suspend or refuse service in any jurisdiction at our discretion to comply with law or manage risk.

3. Description of Services

Thrive provides cryptocurrency market intelligence and trading workflow tools. We are not a broker-dealer, exchange, custodian, money transmitter, or registered investment adviser. We do not hold customer funds, execute trades on your behalf, or provide personalized investment advice.

The Services may include:

• AI-generated market signals, alerts, and interpretations
• Market intelligence dashboards (funding, liquidations, order flow, on-chain metrics, and related data)
• Trading journal, performance analytics, and exchange read-only sync
• AI Coach, AI Workbench, screener, and credit-based AI features
• Custom watchlists, alert packs, and notification delivery
• Creator Marketplace (signals, notebooks, dashboards, formulas, strategies)
• Strategy Vaults and related subscription content (where available)
• Educational content (blog, academy, glossary, tools)
• Affiliate and exchange partner referral links

Features vary by subscription tier (Free, Pro, Pro+). Current limits and pricing are shown on our pricing page and may change with notice as described below.

4. Important Disclaimers

Trading risk: Cryptocurrency markets are highly volatile. You may lose some or all of your capital. Only trade what you can afford to lose. Past performance — including backtests, paper results, or Creator Content track records — is not indicative of future results.

Your decisions: You are solely responsible for your trading and investment decisions. Consult qualified professionals before acting.

No guarantees: We do not guarantee accuracy, completeness, timeliness, uptime, or profitability. Data may be delayed, incomplete, or incorrect. Third-party data sources and AI models can err.

5. Account Registration & Security

To access paid or personalized features, you must create an account. You agree to:

• Provide accurate, current information
• Maintain the confidentiality of your credentials
• Notify us promptly of unauthorized access
• Accept responsibility for activity under your account

One account per individual unless we authorize otherwise. We may suspend or terminate accounts that violate these Terms, abuse refunds, or pose security or legal risk.

6. Subscriptions, Billing & Refunds

6.1 Plans & pricing

We offer free and paid tiers. As of the last update, Pro is generally $99/month (or $999/year) and Pro+ is $349/month (or $3,499/year). An introductory $7 first-month trial may be offered for new Pro subscribers. Displayed prices on the pricing page and at checkout control; they may exclude applicable taxes calculated at checkout by our payment processor.

6.2 Auto-renewal & billing authorization

Paid subscriptions are billed in advance on a recurring basis (monthly or annually). By subscribing, you authorize Thrive and our payment processor to charge your payment method at the displayed price on each renewal date until you cancel. Auto-renewal terms are disclosed at checkout. You are responsible for keeping payment details current.

6.3 Cancellation

Cancel anytime via Dashboard → Settings (or the billing portal where linked). Cancellation stops future renewals; access continues through the end of the current paid period unless a refund under §6.4 revokes access immediately. No partial-period refunds except where required by law or expressly stated below.

6.4 Refund policy — Thrive subscriptions

Submit refund requests via Dashboard → Settings. We review requests and respond within 1–2 business days.

6.4.1 — $7 introductory trial (non-refundable)

The $7 charge for the introductory Pro period is non-refundable under all circumstances. It is payment for access during that period.

6.4.2 — First full subscription payment (7-day refund window)

After trial conversion (or on first paid Pro/Pro+ charge if no trial), you may request a full refund of that first full subscription payment only, if submitted within 7 calendar days of the charge date and if you have not abused this policy (for example, repeated sign-ups across related accounts). Upon approval, access is revoked immediately. This does not apply to the $7 trial, renewals, re-subscriptions, or annual renewals after the first year.

6.4.3 — Subsequent payments

All later subscription charges are final and non-refundable, except where mandatory consumer law requires otherwise.

6.5 Credit packs & one-time purchases

AI credit packs and other one-time digital purchases are non-refundable once credits are delivered, consumed, or the digital content has been accessed. Billing errors may be corrected at our discretion — contact support@thrive.fi within 7 days.

6.6 Price changes

We may change subscription prices with reasonable advance notice. Changes apply on your next renewal after notice. If you do not agree, cancel before the renewal date.

6.7 Taxes

You are responsible for applicable taxes unless tax is calculated and collects them at checkout. Creators and affiliates are responsible for their own tax obligations (see Marketplace and Affiliate Terms).

6.8 EU / UK consumer note

If you are a consumer in the European Economic Area or United Kingdom, you may have a statutory 14-day right to cancel distance contracts for digital services. By subscribing and immediately accessing digital content, you request immediate performance and acknowledge that you may lose the right of withdrawal once full digital delivery begins, to the extent permitted by law. Mandatory local consumer rights that cannot be waived still apply. Nothing in these Terms limits non-waivable rights under EU/UK consumer law.

7. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes or to violate sanctions or export controls
• Share account access, resell subscriptions, or circumvent tier limits
• Reverse engineer, scrape, crawl, or bulk-export our signals, data feeds, or models
• Interfere with the Services, probe vulnerabilities, or launch denial-of-service attacks
• Redistribute, republish, or commercialize Thrive content without permission
• Use the Services for market manipulation, wash trading coordination, or fraud
• Upload malware, harass users, or infringe intellectual property
• Misrepresent affiliation with Thrive or impersonate others

8. Intellectual Property

Thrive owns the Services, software, signals, algorithms, branding, documentation, and curated content. Subject to your subscription, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Services for your internal trading workflow.

You may not copy, modify, distribute, sell, sublicense, or create derivative works from the Services except as expressly allowed (for example, exporting your own journal data).

9. User Content

You retain ownership of content you create (journal entries, notes, marketplace listings). You grant Thrive a worldwide, non-exclusive license to host, process, display, and distribute your content as needed to operate the Services — including showing Marketplace content to subscribers.

We may use aggregated, de-identified usage data to improve the Services. We do not sell your individual trading journal to third parties.

9d. Affiliate & Exchange Partner Links

Thrive may earn referral fees when you sign up at partner exchanges via tracked links or when you subscribe through our Affiliate Program. Partner relationships do not constitute endorsement of any exchange. You trade directly on third-party platforms subject to their terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Lost profits, revenue, data, goodwill, or business interruption
• Trading losses, liquidations, or investment losses of any kind
• Damages from reliance on signals, AI Outputs, Creator Content, or third-party data
• Damages exceeding the greater of (a) amounts you paid Thrive in the 12 months before the claim or (b) USD $100

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. Nothing excludes liability for fraud, gross negligence, or death/personal injury caused by negligence where exclusion is prohibited.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION, OR THAT DEFECTS WILL BE CORRECTED.

12. Indemnification

You agree to defend, indemnify, and hold harmless Thrive and its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your User Content, your trading activity, your violation of these Terms, or your violation of third-party rights — except to the extent caused by our gross negligence or willful misconduct.

13. Service Modifications & Availability

We may modify, suspend, or discontinue any feature with or without notice. Planned maintenance and third-party outages may affect availability. See thrive.fi/status for system status. We are not liable for modifications or downtime except as required by mandatory law.

14. Changes to Terms

We may update these Terms periodically. Material changes (including billing or refund policy changes) will be posted with an updated date and, where required, notified to active subscribers by email or in-product notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance where permitted. If you disagree, cancel before the effective date.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules, except where mandatory consumer protection law in your country of residence requires otherwise.

16. Dispute Resolution

16.1 Informal resolution

Before formal proceedings, contact support@thrive.fi and allow 30 days to resolve the dispute informally.

16.2 Binding arbitration (U.S. users & where enforceable)

Except for qualifying small-claims matters and injunctive relief for IP or abuse, disputes arising from these Terms or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Seat: Delaware, USA. Language: English. The arbitrator may award the same damages a court could, subject to Section 10.

Class action waiver: Disputes must be brought individually, not as a class, collective, or representative action, to the extent permitted by law.

16.3 Arbitration opt-out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@thrive.fiwith subject "Arbitration Opt-Out," your name, and the email on your account. Opt-out does not affect prior agreements.

16.4 EEA / UK & other mandatory local rights

If you are a consumer in the EEA, UK, or another jurisdiction where arbitration/class waivers are unenforceable or where you have a non-waivable right to bring claims in local courts, those rights remain unaffected. Nothing in this Section deprives you of mandatory consumer protections.

17. Force Majeure

We are not liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, sanctions, exchange or blockchain outages, internet failures, third-party API disruptions, or government actions.

18. Severability & Entire Agreement

If any provision is unenforceable, the remainder stays in effect. These Terms, the Privacy Policy, and incorporated documents (Marketplace, Affiliate Terms where applicable) are the entire agreement regarding the Services.
