1. Acceptance of Terms
Welcome to Thrive, operated by Thrive DeFi, LLC ("Company," "we," "us," or "our"). By accessing or using our platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
Thrive provides cryptocurrency market signals, analytics, trading journal tools, and related educational content. Our Services include:
- Market signals and alerts for cryptocurrency assets
- AI-powered market interpretation and analysis
- Trading journal and performance tracking tools
- Educational blog content
- Customizable watchlists and alerts

Thrive does not provide financial, investment, legal, or tax advice. All information, signals, and content provided through our Services are for informational and educational purposes only. Nothing on our platform constitutes a recommendation to buy, sell, or hold any cryptocurrency or financial instrument.
Trading Risk: Cryptocurrency trading involves substantial risk of loss. The value of cryptocurrencies can be extremely volatile. You should only trade with money you can afford to lose. Past performance is not indicative of future results.
Your Responsibility: You are solely responsible for your trading decisions. You should conduct your own research and consider seeking advice from a qualified financial advisor before making any investment decisions.
No Guarantees: We do not guarantee the accuracy, completeness, or timeliness of any signals, analysis, or information provided. Market conditions change rapidly, and signals may be delayed or incorrect.
4. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Services under applicable law
- Not be located in a jurisdiction where cryptocurrency services are prohibited
5. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Subscription and Payments
6.1 Pricing
We offer free and paid subscription tiers. Current pricing is displayed on our pricing page. We reserve the right to change pricing with reasonable notice.
6.2 Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or yearly). By subscribing, you authorize us to charge your payment method.
6.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access through that period. Outside of the trial refund policy described in section 6.4, no refunds are provided for partial billing periods.
6.4 Refund Policy
Our refund policy follows the structure below. To request a refund where eligible, submit a request through your account settings at Dashboard → Settings. Our team reviews all requests and will respond within 1–2 business days.
6.4.1 — $7 / 7-Day Trial (Non-Refundable)
New Pro subscriptions may be started at a discounted introductory rate of $7 for the first 7 days of access. This trial charge is non-refundable. The $7 is consideration for access to the Services during the trial period and will not be returned under any circumstances.
6.4.2 — First Full Subscription Payment (7-Day Refund Window)
After the trial period, your subscription converts to the standard rate (e.g., $99/month for Pro). If you are not satisfied, you may request a full refund of this first full subscription payment only, provided the request is submitted within 7 calendar days of that charge date.
This refund is subject to the following conditions:
- The refund applies only to the first full subscription payment made after trial conversion. It does not apply to the $7 trial charge, renewals, repeat purchases, or re-subscriptions.
- The refund request must be submitted within 7 calendar days of the first full payment date.
- Upon approval, your subscription will be cancelled immediately and access will be revoked.
- Credit pack purchases, one-time purchases, and any consumed AI credits are non-refundable.
- We reserve the right to deny refund requests where the policy is being abused (for example, repeated sign-ups across the same individual or related accounts).
6.4.3 — All Subsequent Payments (No Refunds)
All subscription payments after the first full payment are final and non-refundable. You may cancel your subscription at any time through your account settings and retain access through the end of the current billing period. No partial-period refunds are provided.
7. Acceptable Use
You agree not to:
- Use the Services for any illegal purpose
- Share your account with others or resell access
- Attempt to reverse engineer, copy, or reproduce our Services
- Scrape, crawl, or use automated means to access our platform
- Interfere with or disrupt the Services
- Redistribute, republish, or commercialize our signals or content
- Use the Services to manipulate markets or engage in fraudulent activity
- Harass, abuse, or harm other users
8. Intellectual Property
All content, features, and functionality of the Services—including but not limited to text, graphics, logos, signals, algorithms, and software—are owned by Thrive DeFi, LLC and are protected by copyright, trademark, and other intellectual property laws.
Your use of the Services does not grant you any ownership rights. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.
9. User Content
You retain ownership of content you create (such as journal entries and notes). By using our Services, you grant us a non-exclusive license to store and display your content as necessary to provide the Services.
We may use anonymized, aggregated data from user activity to improve our Services and for analytical purposes.
9a. Creator Marketplace
The Workbench Marketplace lets users ("Creators") publish trading signals, notebooks, dashboards, formulas, alert packs, and strategies ("Creator Content") and lets other users ("Subscribers") subscribe to or purchase them. These Marketplace Terms supplement, and are part of, these Terms.

Creator Content is published by independent users, not by Thrive. It is provided for informational and educational purposes only and is not investment, financial, legal, or tax advice, nor a recommendation or solicitation to buy, sell, or hold any asset. Thrive does not endorse, verify, or guarantee any Creator Content or any performance claims. Past or hypothetical performance is not indicative of future results.
9a.1 Creator Agreement
- You retain ownership of your Creator Content and grant Thrive a worldwide, non-exclusive license to host, display, market, and distribute it to Subscribers through the Services.
- You represent that you own or have all rights necessary to publish your Creator Content and that it does not infringe any third party's intellectual property, contractual, or other rights.
- You are solely responsible for your Creator Content, including the accuracy of any descriptions, methodologies, and performance figures.
- You may not publish content that is unlawful, misleading, manipulative, plagiarized, or that constitutes unlicensed investment advisory services where a license is required.
9a.2 Buyer Subscription Terms
Paid signal subscriptions are billed monthly and auto-reneweach month until canceled. This auto-renewal is disclosed at checkout before payment. You may cancel at any time from the Marketplace; cancellation stops future renewals and access continues through the end of the current paid period. A Subscriber's license to access Creator Content is personal, non-transferable, and may not be resold or redistributed.
9a.3 Refunds & Cancellation
Marketplace subscription charges are final and non-refundable except where required by law or where a charge resulted from a billing error or platform fault. To dispute a charge, contact support@thrive.fi within 7 calendar days. Credit-based one-time template purchases are non-refundable once the content has been forked or accessed.
9a.4 Creator Payouts & Taxes
- Thrive retains a platform fee (currently 20%) of each Subscriber payment; the remainder is paid to the Creator via Stripe Connect.
- Payouts require completing Stripe Connect onboarding. Creators are independent contractors, not employees or agents of Thrive.
- Creators are responsible for their own taxes. Where required, Thrive (via Stripe) collects tax information (e.g. US Form W-9/W-8) and issues or facilitates tax reporting (e.g. US Form 1099-K, EU DAC7 platform reporting).
- Applicable sales tax or VAT is calculated and collected at checkout where required.
9a.5 Content Moderation & DMCA
Thrive may review, restrict, unpublish, or remove any Creator Content at its discretion, including content reported as infringing, misleading, or in violation of these Terms. To report content or submit a copyright (DMCA) takedown notice, email support@thrive.fiwith the URL or signal identifier, a description of the issue, and—for copyright claims—identification of the copyrighted work, your contact information, and a good-faith statement and signature as required under 17 U.S.C. § 512. We will respond to valid notices and may remove the content and, for repeat infringers, terminate the Creator's marketplace access.
9a.6 Privacy
Creator earnings, payout details, and tax information are processed by Stripe under its terms and our Privacy Policy. Subscriber identities are not disclosed to Creators beyond aggregate subscription counts and metrics needed to operate the Marketplace.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THRIVE DEFI, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Any loss of profits, revenue, data, or goodwill
- Any trading losses or investment losses
- Any damages arising from your reliance on our signals or content
- Any damages exceeding the amount you paid us in the 12 months preceding the claim
Some jurisdictions do not allow limitations on liability, so some of these limitations may not apply to you.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Indemnification
You agree to indemnify and hold harmless Thrive DeFi, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.
13. Modifications to Services
We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and changing the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16. Dispute Resolution
Any dispute arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware.
You agree to waive any right to a jury trial or to participate in a class action lawsuit.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Thrive DeFi, LLC regarding your use of the Services.
